This is a legal agreement between you and Intuitec Software Inc., an Ontario corporation, covering your use of SASS and related materials (the "Software"). Be sure to read the following agreement before using the Software. BY USING THE SOFTWARE (REGARDLESS IF YOU HAVE PURCHASED THE SOFTWARE OR NOT), YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT USE THE SOFTWARE AND DESTROY ALL COPIES IN YOUR POSSESSION.
By using the Software, you acknowledge that the Software constitutes valuable property of Intuitec Software and that all title and ownership rights to the Software and related materials remain exclusively with Intuitec Software. Intuitec Software reserves all rights with respect to the Software and all related products under all applicable laws for the protection of proprietary information, including, but not limited to, trade secrets, copyrights, trademarks and patents.
The Software is owned by Intuitec Software and is protected by Canadian copyright laws and international treaty provisions. Therefore, you must treat the Software like any other copyrighted material (e.g. a book or musical recording). Paying the Software registration fee allows you the right to use one copy of the Software on a single computer. You may not network the Software or otherwise use it or make it available for use on more than one computer at the same time. You may not rent or lease the Software, nor may you modify, adapt, translate, reverse engineer, decompile, or disassemble the Software. If you violate any part of this agreement, your right to use this Software terminates automatically and you must then destroy all copies of the Software in your possession.
The Software and its related documentation are provided "AS IS" and without warranty of any kind and Intuitec Software expressly disclaims all other warranties, expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. Under no circumstances shall Intuitec Software be liable for any incidental, special, or consequential damages that result from the use or inability to use the Software or related documentation, even if Intuitec Software has been advised of the possibility of such damages. In no event shall Intuitec Software's liability of any kind exceed the license fee paid, if any.
In the event of a dispute, controversy, or claims relating to or arising from this agreement, you agree to settle same in accordance with the arbitration rules of the Alternate Dispute Resolution Institute of Ontario, and in accordance with the applicable laws of the Province of Ontario as it relates to contracts entered into and performed therein. All arbitration conferences and hearings will be held in North York, Ontario, Canada. In all other circumstances, this agreement shall be governed, enforced and construed in accordance with the laws of the Province of Ontario, without regard to its conflict of laws provisions. The provincial courts of the province of Ontario shall have exclusive jurisdiction for any action or proceeding arising out of or related to this agreement. Intuitec Software expressly reserves any and all rights to pursue equitable relief including, but not limited to, temporary restraining orders and preliminary injunctions, irrespective of the arbitration rules previously noted.
Remember, you must Use Your Judgment. No one else can make decisions for you.
Unauthorized distribution or resale of SASS is strictly prohibited. Commercial or public use of an unregistered copy of SASS is strictly prohibited.
